NONPROFIT BYLAWS

Bylaws provide the framework for how your board functions. I can help you complete a comprehensive review of the bylaws or draft amendments for specific sections. A detailed review usually entails working closely with your Bylaws Task Force to negotiate different points of view.

Common client bylaws changes or clarifications:

  1. Membership classes, qualifications and rights

  2. Trustee and officer terms

  3. Officer positions

  4. Committee structure

I prepare a comparison of the current clauses with the recommended revisions.  A draft of the proposed amendments will be reviewed either by your attorney or an outside attorney specializing in exempt organizations prior to being presented to the board or membership.

“I know of no other source that has ever explained the differences between board and member powers in a membership association so succinctly! I wish I had this description in law school. Excellent job!”
